This Membership Application (Agreement) is a legal agreement between you and Blockchain Security Standards Council, Inc. (“BSSC”). As used in this Agreement, "you" means the company or other entity that is applying for membership in BSSC under this Agreement.
By clicking on the "ACCEPT" button below, your representative will be agreeing on your behalf that you will be bound by and are becoming a party to this Agreement. When they do so, it will also constitute a representation by the individual that they are authorized to bind you as a party to this Agreement. If you do not agree to all of the terms of this Agreement, do not click the “ACCEPT" button at the end of this Agreement.
Membership rights and privileges will not commence until you receive written notification from BSSC that your membership has been accepted and, where applicable, when dues have been paid in full.
When you click on the ACCEPT button below, you acknowledge and agree that:
- when signed and accepted by BSSC, this application represents a binding contract between the parties and commits you to (i) payment of annual membership dues and fees as determined from time to time by the Board of Directors, and(ii) comply with all the terms and conditions of BSSC’s Certificate of Incorporation, Bylaws and Intellectual Property Rights Policy (the applicant hereby acknowledging receipt of copies of these documents), each as from time to time amended, and such rules and policies as the Board of Directors and/or committees may from time to time adopt. By signing below, you also certify that you meet the conditions of Membership specified in the Bylaws.
- BSSC may elect to avail itself of certain protections offered by the National Cooperative Research and Production Act of 1993, as amended, which requires disclosure of the names of all members of BSSC. Accordingly, you hereby appoint such person who shall be the President or Chairperson or acting President or Chairperson of BSSC as your true and lawful attorney‑in‑fact solely for the following purposes, and authorize him or her to (1) notify government agencies of your membership in BSSC, (2) make, approve the form of, execute and deliver filings with government agencies on behalf of BSSC and on your behalf as a member of BSSC indicating such membership, (3) receive notifications pursuant to the National Cooperative Research and Production Act on behalf of BSSC and on your behalf as a member of BSSC, and (4) authorize and direct other officers of, and/or counsel to BSSC, to do any of the foregoing acts. BSSC will forward to you any notifications that it receives which are other than normal confirmations of filings and other administrative notices relating to all members.
NOTES: Membership renews automatically unless BSSC receives notice of non-renewal no later than thirty days prior to the anniversary date of this Agreement.
